An agreement has been signed between Terabank’s shareholder and Luxembourg-based AGE S.A. for the acquisition of shares in Terabank. AGE S.A. is part of the financial ecosystem of Arins Group, which also includes Ardshinbank — Armenia’s largest bank by assets.
Arins Group is one of Armenia’s largest financial groups, bringing together banking, insurance, and other financial services. Ardshinbank, which is part of the Group’s financial ecosystem, accounts for 21% of the Armenian banking system’s total assets and holds strong positions across corporate, SME, and retail banking. The bank also has long-standing partnerships with leading international financial institutions, including the EBRD and EIB Global.
Ardshinbank is the only Armenian company rated by all three leading international credit rating agencies — S&P Global, Moody’s, and Fitch. The bank’s ratings are also at the level of Armenia’s sovereign rating, underscoring Ardshinbank’s international recognition.
The investment in Terabank forms part of Arins Group’s international expansion strategy. Georgia has been identified as a priority market for the Group’s regional expansion, reflecting the country’s economic growth dynamics, balanced macroeconomic policies, and strong supervisory framework for the financial sector.
The entry of a strategic investor of this scale and experience marks a new stage in Terabank’s development and creates additional opportunities for the bank’s continued growth.
The transaction is expected to be completed following receipt of the necessary regulatory approvals from the National Bank of Georgia.
